The VAFRE Board of Directors has just completed the process of reviewing and updating the organization’s Articleso f Incorporation and Bylaws to make sure that they are in line with current organization practices.
Due to the functions filled by the management company, the Board agreed that it would be appropriate to combine the positions of Secretary and Treasurer into one and to have the Immediate Past President serve as the fourth officer of the organization. It is a recommendation of the Board of Directors that the Articles of Incorporation and Bylaws be amended to reflect this change. In addition, the Board of Directors recommends adding a new clause to the Bylaws regarding delegation of Board duties.
The changes that were made are:

- Article IV, Section 2, change officers of the corporation from President, Vice President, Secretary and Treasurer to President, Vice President, Secretary/Treasurer, and Immediate Past President

A quorum of the membership is required to approve these changes before they go into effect, by voting either in person or by proxy. The vote will be held at our June 1st meeting. If you will not be able to attend and would like to submit your proxy please do so no later than Friday, May 28th.
